1. Acceptance of These Terms

These Website Terms of Service (“Terms”) govern your access to and use of the AiDisco website and any public information, forms, scheduling features, materials, and resources made available through it.

By accessing or using the website, submitting an enquiry, or scheduling a consultation, you agree to these Terms.

If you do not agree to these Terms, you should not use the website.

2. About AiDisco

AiDisco is an AI search and AI marketing agency based in the Philippines.

Its services may include:

  • AI Search Optimisation;
  • AI Discoverability Optimisation;
  • AI Visibility Audits;
  • AI Citation Strategy;
  • Authority Building;
  • Content Strategy and Optimisation;
  • AI Search Performance Measurement;
  • Generative Engine Optimisation;
  • Technical optimisation;
  • Content development;
  • Research and analysis;
  • Consulting; and
  • Related marketing and advisory services.

AiDisco helps businesses strengthen their visibility across AI-powered search platforms, generative search engines, and related digital ecosystems.

3. Eligibility and Authority

You must be at least 18 years old and have the legal capacity to agree to these Terms.

When you use the website or communicate with AiDisco on behalf of a company, employer, partnership, organisation, or other entity, you represent that:

  • You are authorised to act for that entity;
  • You have authority to provide the information you submit; and
  • Where applicable, you have authority to bind that entity to an agreement.

4. Informational Website

The public website is primarily intended to provide general information about AiDisco and its services.

The website does not create a client, adviser, fiduciary, partnership, employment, or agency relationship merely because you:

  • Visit the website;
  • Read website content;
  • Submit a contact form;
  • Schedule an initial meeting; or
  • Receive a preliminary response from AiDisco.

A client relationship begins only when AiDisco and the client enter into a written agreement or otherwise expressly agree in writing to an engagement.

5. Separate Client Agreements

Paid services are governed by the applicable: Service agreement; Proposal; Statement of work; Project contract; Retainer agreement; Purchase order accepted by AiDisco; or Other written agreement between AiDisco and the client.

The applicable client agreement will govern matters such as:

  • Scope of work;
  • Deliverables;
  • Project milestones;
  • Client responsibilities;
  • Fees;
  • Payment schedules;
  • Renewals;
  • Cancellation;
  • Refunds;
  • Intellectual-property ownership;
  • Confidentiality;
  • Data handling;
  • Service levels;
  • Liability; and
  • Termination.

If these website Terms conflict with a signed client agreement, the signed client agreement will control in relation to the paid services covered by that agreement.

6. No Online Purchase or Automatic Subscription

AiDisco does not currently sell services or process payments directly through the public website.

Submitting an enquiry or scheduling a meeting does not: Commit you to purchasing services; Require AiDisco to accept an engagement; Create a recurring subscription; Authorise a payment; or Guarantee that AiDisco will provide services.

Fees may be invoiced through banking or other payment arrangements specified in the applicable client agreement.

7. Fees, Billing, Renewals, Cancellation, and Refunds

AiDisco may offer: Project-based engagements; Monthly retainers; Hybrid project-and-retainer arrangements; and Other customised commercial arrangements.

All fees, billing schedules, renewal terms, cancellation rights, notice periods, project pauses, and refund terms are governed by the applicable proposal, statement of work, service agreement, or other written client contract.

Unless a written client agreement expressly provides otherwise:

  • Fees already earned for completed work are non-refundable;
  • Work performed before a cancellation takes effect remains payable;
  • Approved third-party expenses remain payable;
  • Outstanding invoices remain due after cancellation or termination; and
  • AiDisco is not required to begin or continue work while an invoice is overdue.

No general refund right is created by these website Terms.

8. Availability and Acceptance of Engagements

AiDisco may accept or decline an enquiry or proposed engagement at its discretion.

AiDisco may consider factors such as: Capacity; Expertise; Project suitability; Conflicts of interest; Legal or regulatory risk; Ethical concerns; Client cooperation; Payment history; and The accuracy or completeness of information provided.

A preliminary discussion, estimate, or proposal does not guarantee availability until an engagement is accepted in writing.

9. Client Responsibilities

Clients and prospective clients are responsible for:

  • Providing accurate, complete, and current information;
  • Ensuring that submitted materials may lawfully be used by AiDisco;
  • Obtaining necessary permissions, licences, and consents;
  • Responding to reasonable requests for information and approvals;
  • Reviewing deliverables and recommendations;
  • Making final business, legal, technical, editorial, and publication decisions;
  • Maintaining appropriate access controls and security for their own systems;
  • Complying with applicable laws, contracts, platform rules, and industry requirements; and
  • Paying agreed fees when due.

AiDisco may rely on information supplied by the client without independently verifying every statement, dataset, document, or instruction.

Delays, inaccuracies, incomplete access, or failures caused by the client may affect timelines, outcomes, and fees.

10. No Guarantee of AI Search Results

AiDisco does not guarantee: Rankings; AI citations; Brand mentions; Recommendations; Inclusion in generated answers; Search impressions; Website traffic; Leads; Sales; Revenue; Return on investment; Placement within a particular AI platform; Continued visibility after a result is achieved; or Any specific commercial outcome.

AI search optimisation and generative engine optimisation are ongoing, long-term initiatives. Results may take time to become observable and may vary substantially between platforms, users, prompts, locations, languages, devices, model versions, and dates.

Results depend on factors outside AiDisco’s control, including:

  • Changes to algorithms;
  • Changes to AI models;
  • Search indexes;
  • Retrieval systems;
  • Training and grounding data;
  • Citation and source-selection practices;
  • Platform policies;
  • Website crawlability;
  • Competitor activity;
  • Client implementation;
  • Content quality;
  • Brand authority;
  • Market conditions; and
  • User behaviour.

Past results, examples, forecasts, audit findings, projections, or case studies do not guarantee future performance.

11. Third-Party AI and Search Platforms

ChatGPT, OpenAI, Gemini, Google, Claude, Anthropic, Perplexity, and other third-party products, platforms, services, and trademarks are owned and operated by their respective owners.

Unless expressly stated otherwise, AiDisco is not: Affiliated with those providers; Endorsed by those providers; Authorised to act for those providers; or Able to control their algorithms, models, interfaces, policies, indexing, outputs, uptime, or business decisions.

A third-party platform may modify, suspend, restrict, replace, or discontinue features at any time.

AiDisco is not responsible for losses caused solely by a third-party platform’s: Algorithm or model update; Incorrect or misleading output; Citation change; Outage; Data loss; Policy enforcement; Account restriction; Pricing change; Product discontinuation; or Decision not to include or recommend a client.

12. AI-Generated Information

AiDisco may use AI-assisted tools as part of its research, analysis, content, and service-delivery processes.

AI-generated or AI-assisted information may be: Incomplete; Inaccurate; Outdated; Inconsistent; Similar to third-party material; or Unsuitable for a particular legal, financial, technical, medical, regulatory, or commercial purpose.

AiDisco applies human review where appropriate, but clients remain responsible for reviewing and approving final materials before publication, implementation, or reliance.

Unless expressly included in a written client agreement, AiDisco’s services do not constitute legal, accounting, financial, medical, cybersecurity, or other regulated professional advice.

13. Website Content

Website content is provided for general informational and marketing purposes.

AiDisco seeks to keep its website accurate and useful but does not warrant that all content is: Complete; Error-free; Current; Suitable for every business; Available at all times; or Applicable to a particular situation.

Website content may be updated, removed, or replaced without notice.

You should not make material business, financial, technical, or legal decisions solely on the basis of general website content.

14. Intellectual Property

14.1 AiDisco website and materials

Unless otherwise stated, AiDisco or its licensors own all rights in the website and its content, including: Branding; Logos; Website design; Text; Graphics; Frameworks; Research methods; Audit methodologies; Templates; Reports made available as general resources; Processes; Databases; Software; Presentations; and Other proprietary materials.

You may view and use public website content for your own lawful internal business purposes.

You may not reproduce, republish, sell, license, distribute, scrape, modify, or commercially exploit substantial portions of the website or AiDisco’s proprietary materials without written permission.

14.2 Client deliverables

Subject to full payment of all applicable fees, the client will own the final client-specific deliverables identified in the applicable written agreement, unless that agreement states otherwise.

AiDisco retains ownership of: Pre-existing materials; General knowledge and experience; Processes and methodologies; Reusable tools; Templates; Frameworks; Software; Know-how; Concepts; Research techniques; and Materials not created exclusively for the client.

To the extent AiDisco-owned materials are incorporated into a client deliverable, the client receives the licence described in the applicable client agreement. Third-party materials remain subject to their original licences and terms.

14.3 Client-provided materials

Clients retain ownership of materials they provide to AiDisco.

By providing materials, the client grants AiDisco a limited right to access, copy, modify, analyse, and otherwise use those materials as reasonably necessary to: Evaluate the engagement; Perform the services; Produce deliverables; Communicate with the client; and Comply with legal and contractual obligations.

The client represents that it has the necessary rights and permissions to provide those materials.

15. Testimonials, Client Names, and Logos

AiDisco may display a client’s name, logo, testimonial, results, or case-study information only with appropriate permission.

Testimonials will be displayed substantially as provided. AiDisco may make limited changes for spelling, grammar, formatting, or length without materially changing the meaning.

Clients may request removal of an approved name, logo, or testimonial. AiDisco will address reasonable removal requests within a reasonable time, subject to contractual rights and materials that have already been printed, distributed, archived, or incorporated into completed publications.

16. Acceptable Use

You may not use the website to:

  • Violate any law or regulation;
  • Infringe intellectual-property, privacy, confidentiality, publicity, or other rights;
  • Submit information you are not authorised to provide;
  • Transmit malware, malicious code, or harmful files;
  • Attempt to gain unauthorised access to the website, servers, accounts, systems, or data;
  • Probe, scan, or test vulnerabilities without written permission;
  • Interfere with website operation or security;
  • Impersonate another person or organisation;
  • Make false, fraudulent, or misleading representations;
  • Send spam or abusive communications;
  • Harvest contact information;
  • Use automated systems in a manner that creates an unreasonable burden on the website;
  • Scrape, copy, or extract substantial website content for resale or competing commercial use;
  • Circumvent access restrictions;
  • Reverse engineer protected website technology;
  • Misuse AiDisco materials, reports, recommendations, or intellectual property;
  • Transmit harmful, discriminatory, deceptive, defamatory, or unlawful material; or
  • Encourage another person to do any of the above.

AiDisco may restrict or block access where it reasonably believes these Terms have been violated.

17. Confidentiality and Website Submissions

Submitting information through the public website does not, by itself, create a confidential, fiduciary, or professional relationship.

You should not submit trade secrets, passwords, highly sensitive information, or confidential materials through a public contact form unless AiDisco has requested the information and confirmed an appropriate transfer method.

Confidentiality obligations applicable to a paid engagement will be governed by the relevant client agreement or nondisclosure agreement.

18. Privacy

AiDisco’s handling of personal information is described in its Privacy Policy.

By using the website, you acknowledge that information may be processed as described in that policy.

19. Website Availability and Security

AiDisco does not guarantee that the website will be: Continuously available; Free from errors; Free from viruses or harmful components; Compatible with every device or browser; or Protected against every security threat.

AiDisco may suspend, restrict, modify, or discontinue any part of the website for maintenance, security, operational, legal, or business reasons.

20. Disclaimer of Warranties

To the maximum extent permitted by law, the website, its content, and any preliminary information provided before a signed client engagement are made available on an “as is” and “as available” basis.

AiDisco disclaims all warranties and representations not expressly stated in a written client agreement, including implied warranties of: Accuracy; Completeness; Merchantability; Fitness for a particular purpose; Non-infringement; Availability; Performance; and Results.

Nothing in these Terms excludes a warranty, right, or remedy that cannot lawfully be excluded.

21. Limitation of Liability

To the maximum extent permitted by law, AiDisco will not be liable for:

  • Indirect damages;
  • Incidental damages;
  • Consequential damages;
  • Special damages;
  • Exemplary or punitive damages;
  • Loss of profits;
  • Loss of revenue;
  • Loss of anticipated savings;
  • Loss of opportunity;
  • Loss of goodwill;
  • Loss of reputation;
  • Loss of data;
  • Business interruption; or
  • Decisions made in reliance on general website information.

For claims relating to paid services, AiDisco’s total aggregate liability will not exceed the fees paid by the client to AiDisco under the applicable engagement during the six months immediately preceding the event giving rise to the claim, unless the applicable client agreement expressly provides otherwise.

The limitations in this section apply regardless of whether the claim arises in contract, negligence, tort, statute, or another legal theory.

These limitations do not apply to liability that cannot lawfully be excluded or limited.

22. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold AiDisco and its owners, personnel, contractors, and representatives harmless from third-party claims, losses, liabilities, damages, and reasonable costs arising from:

  • Your unlawful use of the website;
  • Your violation of these Terms;
  • Materials you submit without the necessary rights or permissions;
  • Your infringement of another person’s rights;
  • Your misuse of AiDisco deliverables or recommendations; or
  • False or misleading information you provide.

Any indemnification obligations relating to paid services may be further addressed in the applicable client agreement.

23. Suspension and Termination

AiDisco may suspend or terminate website access, communications, or services where reasonably necessary because of:

  • A violation of these Terms;
  • Illegal, abusive, deceptive, or harmful conduct;
  • A security risk;
  • Failure to pay amounts when due;
  • Failure to provide required information or cooperation;
  • A material breach of a client agreement;
  • A conflict of interest;
  • A legal or regulatory requirement; or
  • Conduct that may expose AiDisco or another person to liability or harm.

Termination of a paid engagement will be governed primarily by the applicable client agreement.

Termination does not affect rights, obligations, or payments that accrued before termination.

Sections that are intended by their nature to continue—including provisions relating to intellectual property, confidentiality, payment, disclaimers, liability, indemnification, and disputes—will survive termination.

24. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.

Before commencing formal legal proceedings, the parties will attempt in good faith to resolve the dispute through written notice and reasonable negotiations.

If the dispute is not resolved through good-faith negotiations, it will be submitted to the courts with appropriate jurisdiction in Muntinlupa City, Metro Manila, Philippines.

Nothing in this section prevents either party from seeking urgent injunctive or protective relief where reasonably necessary.

A separate client agreement may establish different dispute-resolution procedures for the services governed by that agreement.

25. Changes to These Terms

AiDisco may revise these Terms to reflect changes to: The website; Services; Business operations; Technology; Legal requirements; or Commercial practices.

Revised Terms will be posted on the website with an updated “Last updated” date.

Your continued use of the website after revised Terms are posted constitutes acceptance of those revisions to the extent permitted by law.

Changes to an existing signed client agreement require the process specified in that agreement and are not automatically made solely by updating these website Terms.

26. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will remain in effect.

27. No Waiver

A failure or delay by AiDisco in enforcing a provision of these Terms does not waive its right to enforce that or another provision later.

28. Assignment

You may not assign or transfer your rights or obligations under these Terms without AiDisco’s prior written consent.

AiDisco may assign these Terms in connection with a merger, acquisition, reorganisation, sale of business, transfer of assets, or similar transaction.

29. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement relating to use of the public website.

A signed client agreement constitutes the governing agreement for the paid services covered by that agreement.
